Mothernode AI Integration & Usage Policy (Node IQ – Company-Level Authorization)

1. Definitions

For purposes of this Policy:

• “Mothernode” means Mothernode, LLC and its software platform
• “Node IQ” means Mothernode’s AI orchestration layer that facilitates transmission of data and prompts between Mothernode and third-party AI Services
• “AI Services” means third-party artificial intelligence platforms, including but not limited to OpenAI (ChatGPT), Google (Gemini), and other external providers
• “Company” means the customer entity subscribing to Mothernode
• “Authorized User” means any employee, contractor, or representative of the Company using Mothernode
• “Activating User” means the individual who enables AI integrations on behalf of the Company
• “User Data” means any data stored or processed within Mothernode
• “AI Output” means any response generated by AI Services

2. Company-Level Activation & Responsibility

By enabling AI integrations, the Activating User represents and warrants that they have the authority to: act on behalf of the Company; bind the Company to this Policy; and enable access to AI integrations for all Authorized Users. Upon activation, AI functionality becomes available to all Authorized Users within the Company account (as configured). The Company assumes full responsibility for all use of AI integrations by its Authorized Users.

3. Nature of the Integration (Node IQ Role)

Mothernode, through Node IQ, provides a pass-through data routing layer that enables transmission of prompts and User Data to AI Services and return of AI-generated responses to Mothernode. Node IQ does not generate AI Output; does not modify, validate, or influence results; and functions strictly as a data transport mechanism.

4. Third-Party Independence

All AI Services are independent third parties, including OpenAI and Google. Mothernode and Node IQ do not control these services; do not provide support for these services; and are not responsible for their performance, pricing, or policies. All billing, credits, and usage are handled directly between the Company and the AI provider.

5. Data Transmission & Company Consent

By enabling AI integrations, the Company (via the Activating User) authorizes Node IQ to transmit Company data to AI Services; acknowledges that such data leaves Mothernode’s environment; and accepts that data may be processed, stored, or retained externally. This authorization applies to all Authorized Users utilizing AI functionality.

6. Internal Governance Responsibility

The Company is solely responsible for: determining which Authorized Users have access to AI integrations; establishing internal policies for appropriate use; training employees on acceptable data sharing practices; and monitoring and controlling usage within its organization. Mothernode does not manage or enforce internal governance controls.

7. Data Control, Privacy, and Security

Once transmitted via Node IQ, data is no longer under Mothernode control and is governed entirely by the AI provider’s policies. Mothernode is not responsible for: data storage, retention, or reuse; model training usage; or security practices of AI providers. The Company is responsible for reviewing and configuring privacy settings with each AI provider.

8. Data Use & Restrictions

The Company agrees that Authorized Users will not transmit: restricted or regulated data without proper authorization; confidential third-party data in violation of agreements; or any data that violates applicable laws or obligations. All responsibility for data shared rests with the Company.

9. AI Output Disclaimer

All AI Output is generated by third-party systems and may be inaccurate, incomplete, or misleading. Mothernode and Node IQ do not validate outputs; do not guarantee accuracy; and do not provide business, legal, or financial advice. The Company assumes full responsibility for: reviewing outputs; decisions made using outputs; and outcomes resulting from their use.

10. Limitation of Liability

To the fullest extent permitted by law, Mothernode shall not be liable for: actions of Authorized Users; decisions made based on AI Output; data exposure through AI Services; or any direct or indirect damages. Use of AI integrations is entirely at the Company’s risk.

11. Indemnification

The Company agrees to indemnify and hold Mothernode harmless from any claims arising from: use of AI integrations by Authorized Users; data transmitted through Node IQ; reliance on AI Output; or violations of laws, regulations, or third-party agreements.

12. Billing & Usage Responsibility

All AI-related charges are incurred at the Company level and are managed directly with the AI provider. Mothernode does not: track usage; manage billing; or provide refunds or support for AI charges.

13. Service Modifications

Mothernode may: modify or disable Node IQ; change supported AI providers; or restrict access due to misuse.

14. Acknowledgment of Risk

By enabling AI integrations, the Company acknowledges: data will be transmitted externally; AI Output may be unreliable; risks cannot be fully controlled; and the Company accepts full responsibility for these risks.

15. Acceptance

By activating AI integrations, the Activating User: confirms authority to bind the Company; accepts this Policy on behalf of the Company; and assumes responsibility for all Authorized User activity.
